By participating in the Perks Pass Sweepstakes Giveaway (the “Sweepstakes”), entrants unconditionally accept and agree to comply with and abide by these Official Rules (the “Official Rules”) and the decisions of Perks Pass LLC (the “Sponsor”) and TapText, LLC. (the “Sweepstakes Administrator”), which shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sweepstakes is subject to all applicable federal, state and local laws and regulations.

SWEEPSTAKES DESCRIPTION:  The Perks Pass Sweepstakes Giveaway begins on August 15, 2026 at 12:00:00 AM Eastern Time (“ET”) and ends on July 31, 2027 at 11:59:59 PM (ET) (the “Sweepstakes Period”).

The Sweepstakes Period consists of a single twelve (12) month entry period wherein one (1) Grand Prize will be awarded in a random drawing (the “Grand Prize Drawing”) from among all eligible entries received throughout the Sweepstakes Period, as described herein. Entry in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, Perks Pass LLC, 1101 Brickell Ave., South Tower, 8th Floor, Miami, Florida 33131, which shall be final and binding in all respects.

ELIGIBILITY: Only legal United States residents residing in the fifty (50) United States, including the District of Columbia, and excluding Rhode Island, who are eighteen (18) years of age or older are eligible to enter. Void where otherwise prohibited by law. Employees of Perks Pass LLC and TapText LLC and their respective subsidiaries, affiliates, consultants, contractors, legal counsel, promotional, fulfillment, or any advertising or other agencies or suppliers involved in this Sweepstakes (collectively, the “Sweepstakes Entities”) and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. Void in Rhode Island and where prohibited by law.

HOW TO ENTER: There are three (3) ways to earn entries into the Sweepstakes.

1. Entry method #1: Online with Mobile Phone. You must use a mobile phone to enter via this method of entry. During the Sweepstakes Period, go to https://www.perkspass.com (the “Website”), then register on the Website by entering your mobile phone number. Sponsor will then text the full registration information needed to your mobile phone number. Complete and submit the registration form as directed to receive fifty (50) entries into the Grand Prize Drawing. All requested information on the entry form at the Website must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the Website is not considered proof of delivery to or receipt by Sponsor of such entry.

2. Entry method #2: Alternate Method of Entry (“AMOE”) Online without a Mobile Phone. To enter without a mobile phone, go to www.perkspass.com/amoe, complete the entry form with the information requested, and follow the on-screen instructions to submit your entry to receive fifty (50) entries into the Grand Prize Drawing. All requested information on the entry form at the Website must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the Website is not considered proof of delivery to or receipt by Sponsor of such entry. 

You may only participate via either Entry Method #1 or Entry Method #2 one (1) time for a limit of fifty (50) entries.

Except as contemplated in these Official Rules, personal information collected in connection with this Sweepstakes will be used in accordance with the Sponsor’s privacy policy available at: and https://www.perkspass.com/privacy-policy.

All entries must be received in accordance with the deadlines stated herein in order to participate. The Website’s database clock will be the official timekeeper for online entries in this Sweepstakes. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. The Sweepstakes Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. The Sweepstakes Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.  

WINNER SELECTION AND NOTIFICATION: On or about August 7, 2027, one (1) potential Grand Prize winner will be randomly selected from all eligible entries received throughout the Sweepstakes Period through a random drawing by the Sweepstakes Administrator. The potential prize winner will be notified by mobile phone number and/or e-mail, using contact information provided or collected at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Each potential winner will be required to execute, have notarized and return an affidavit of eligibility, a liability release, and an IRS W-9 Form within ten (10) calendar days from time of initial notification from Sponsor (or shorter time if required by exigencies). If such documents are not returned within the specified time-period, prize notification is returned as undeliverable, Sponsor are unable to contact a potential winner or a potential winner is not in compliance with these Official Rules, such prize will be forfeited and, at Sponsor’s discretion, an alternate winner may be selected. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. Sponsor, in their sole discretion, will attempt to contact up to three (3) potential winners of each prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. If a potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected. The odds of winning the Grand Prize depend on the total number of eligible entries received throughout the Sweepstakes Period. The decisions of the Sponsor and Administrator in determining and awarding the winner is final and binding.

PRIZES:

One (1) Grand Prize is available. The Grand Prize consists of the winner’s choice of one (1) of the following prizes:

1. One (1) year of free gas with a total value of up to $2,500, awarded in the form of prepaid gas cards redeemable at major gas stations nationwide as selected by the Sponsor. The approximate retail value (“ARV”) of the Grand Prize is $2,500.

2. One (1) year of free groceries with a total value of up to $2,500, awarded in the form of prepaid gift cards redeemable at major grocery retailers as selected by the Sponsor. The approximate retail value (“ARV”) of the Grand Prize is $2,500.

3. One (1) year of free pizza with a total value of up to $2,500, awarded in the form of prepaid gift cards redeemable at major pizza retailers as selected by the Sponsor. The approximate retail value (“ARV”) of the Grand Prize is $2,500.

4. One (1) year of free movies with a total value of up to $2,500, awarded in the form of prepaid gift cards redeemable at major movie theaters as selected by the Sponsor. The approximate retail value (“ARV”) of the Grand Prize is $2,500.

5. One (1) year of free gym membership with a total value of up to $2,500, awarded in the form of a prepaid gym membership at a major gym retailer as selected by the Sponsor. The approximate retail value (“ARV”) of the Grand Prize is $2,500.

6. A one-time cash payment of $2,500. The retail value (“ARV”) is $2,500.

PRIZE CONDITIONS: Prizes are non-transferable, no substitution is allowed except at Sponsor’s sole discretion, and not redeemable for cash (except for the Cash prize selection described above) and are subject to change without notice, but may only be substituted with a prize of equal or greater value due to prize unavailability as determined by Sponsor.

All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of each winner. The Grand Prize winner will receive an IRS Form 1099-Misc for the actual retail value of the prize received. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners may not substitute, assign or transfer prize. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

GENERAL: Acceptance of a prize constitutes prize winner’s permission for Sponsor and its designees to use prize winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, where permitted by law, without further compensation. Entrants agree that the Sweepstakes Entities to the extent permissible by law (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. However, nothing in these Official Rules shall limit or exclude the Sweepstakes Entities’; liability for death or personal injury causes by its negligence or for any other matter where liability may not, as a matter of law, be limited or excluded.

Sponsor are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen entries or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserve the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. In the event Sponsor is prevented from awarding a prize or continuing with the Sweepstakes as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select winners in a random drawing from all eligible, non- suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  

DISPUTES: By entering the Sweepstakes, you agree, to the extent allowed by applicable law, that any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees. These rules and any disputes relating hereto are governed by the internal laws of the State of Florida, USA, without regard to principles of conflicts of laws.

By entering this Sweepstakes, you agree to these Official Sweepstakes Rules including, without limitation, the following mandatory arbitration and waiver of class action and jury trial provisions:

A. MANDATORY ARBITRATION. By participating in this Sweepstakes, you agree all disputes, claims, actions, questions or differences (“Disputes”) brought by or on behalf of you against Sponsor and any of its marketing partners, affiliates, parents, subsidiaries, officers, directors, shareholders, managers, members, or employees, which in any way whatsoever relates to or arises out of this promotion and specifically including but not limited to the marketing, offering, acquisition, sale or use of a package to a Sponsor’s resort destination areas, shall be resolved through binding and final arbitration in Miami-Dade County, Florida, before a single arbitrator, in accordance with the Commercial Arbitration Rules (“Rules”) of the American Arbitration Association then in effect. Except as to the applicability and validity of Section B below, the Arbitrator, and not any court or agency, shall have the exclusive authority to resolve any dispute or issue of arbitrability with respect to this Section A, including as to the jurisdiction of the Arbitrator or relating to the scope, validity, enforceability, or performance of this Section A. This Section A shall be governed and enforced under the Federal Arbitration Act (the “FAA”), 9 U.S.C. § 1, et seq., and, to the extent that it does not conflict with the FAA, the Revised Florida Arbitration Code, Fla. Stat. § 682.01, et seq.

B. WAIVER OF CLASS, COLLECTIVE, AND REPRESENTATIVE CLAIMS. Except as otherwise required by law: (i) class, collective, and representative action procedures shall not be asserted, and shall not apply, in any arbitration pursuant to Section A above; (ii) no class, collective, or representative action claims shall be asserted in arbitration by you against the Sponsor or their marketing partners, affiliates, parents, subsidiaries, officers, directors, shareholders, managers, members, or employees, (each of whom may rely upon and enforce the terms of this Section B); and (iii) you shall not seek to represent the interests of any other promotion entrant in arbitration or any other type of proceeding. The Arbitrator shall have no jurisdiction or authority to compel or permit any class, collective, or representative claim in arbitration, to consolidate different arbitration proceedings, or to join any other party to any arbitration.

C. WAIVER OF JURY TRIAL. You understand that, pursuant to Sections A and B above, you are giving up any rights to a trial by jury with respect to all Disputes, and to appeal or otherwise seek judicial review of any award determined pursuant to the herein described arbitration procedures, except as provided by applicable law.

Additionally, you agree not to claim punitive, incidental or consequential damages, or any other damages and further waive all rights to have damages multiplied or increased. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; therefore, such exclusions may not apply to you.

WINNERS’ LIST: Any legally required winners’ list may be obtained by sending a self- addressed, stamped #10 envelope to: Perks Pass Sweepstakes Winners, 934 N. University #246, Coral Springs, FL 33065. All such requests must be received within six (6) weeks after the end of the Sweepstakes Period.
